1. USING OUR SERVICES

You must follow any policies made available to you within the Services. Click2QBO Sync is designed to synchronize data between ClickUp and QuickBooks Online through Google Sheets.

Acceptable Use

• Use our Services only as permitted by law, including applicable export and control laws and regulations
• Do not misuse our Services or interfere with their operation
• Do not attempt to access our Services using methods other than the provided interface
• Do not use our Services in a way that could harm our systems or other users

Service Suspension

We may suspend or stop providing our Services to you if you do not comply with our terms or policies, or if we are investigating suspected misconduct. This includes but is not limited to:

• Violation of these Terms & Conditions
• Abuse of our API endpoints or excessive usage
• Attempts to reverse engineer or extract our source code
• Sharing your account credentials with unauthorized users

Intellectual Property

Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. You may not:

• Use content from our Services without permission from its owner
• Remove, obscure, or alter any legal notices
• Use our branding or logos without written permission
• Copy, modify, or distribute our software

2. PRIVACY & DATA CONSENT

3. ABOUT SOFTWARE IN OUR ADD-ON

We continually update Click2QBO Sync to offer the best possible integration experience. We may make changes to features or functions at any time, and we cannot guarantee that any specific feature will be available for the entire subscription period.

Updates and Modifications

• We may develop and provide updates including upgrades, bug fixes, patches, and new features
• Certain features may not operate properly without installing all updates
• The add-on may automatically update when new versions are available
• You expressly consent to automatic updates
• These terms apply to all updates and modifications

Software License

Click2QBO Sync grants you a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to use the software provided as part of our Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the add-on as provided in the manner permitted by these terms.

We appreciate that you choose Click2QBO Sync for your business needs. We want to ensure you have a rewarding experience while exploring, evaluating, and using our products.

Subscription Terms

By placing an order or making a purchase, you agree to these terms along with Click2QBO Sync's Privacy Policy. If you are not completely satisfied with our service, please contact us immediately and we will discuss any issues you may be experiencing.

Refund Eligibility

• Contact us within 14 days of your subscription start date
• We will evaluate your specific situation and usage
• Refunds are processed on a case-by-case basis
• Technical issues that prevent service usage are typically eligible for refunds

5. WARRANTIES AND DISCLAIMERS

We provide our Services using a commercially reasonable level of skill and care, and we hope you will enjoy using them. However, there are certain things we do not promise about our Services.

Service Availability

Other than as expressly set out in these terms, Click2QBO Sync does not make any specific promises about the Services. For example, we do not make commitments about:

• Service reliability or availability
• The ability to meet your specific needs
• Data synchronization accuracy or timing

6. LIABILITY FOR OUR SERVICES

When permitted by law, Click2QBO Sync will not be responsible for lost profits, revenues, or data, financial losses, or indirect, special, consequential, exemplary, or punitive damages.

Liability Limits

• Total liability is limited to the amount you paid us to use the Services
• We are not liable for any loss or damage that is not reasonably foreseeable
• We are not responsible for data loss during synchronization processes
• We are not liable for issues arising from third-party services (ClickUp, QuickBooks Online, Google Sheets)

Consumer Rights

We recognize that in some countries, you might have legal rights as a consumer. If you are using the Services for a personal purpose, nothing in these terms limits any consumer's legal rights which may not be waived by contract.

7. BUSINESS USES OF OUR SERVICES

If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify Click2QBO Sync and its affiliates, officers, agents, and employees from any claim, action, or proceedings arising from or related to the use of the Services or violation of these terms.

Business Indemnification

This includes any liability or expense arising from claims, losses, damages, judgments, litigation costs, and legal fees. Business users are responsible for ensuring their employees and contractors comply with these terms.

8. DATA RETENTION AND SYNCHRONIZATION

Data Storage

Click2QBO Sync stores data on Google Cloud Platform servers in connection with your use of our Services. This includes:

• Authentication tokens for ClickUp and QuickBooks Online
• Field mapping configurations and sync settings
• Sync logs and performance metrics
• User preferences and account information

Data Retention Period

Click2QBO Sync will retain your data for a period of thirty (30) days following termination of this Agreement. We have no obligation to retain any data beyond this period. It is your responsibility to keep copies of your data in other secure storage locations.

9. THIRD-PARTY INTEGRATIONS

ClickUp Integration

Our Services integrate with ClickUp's API to access your task and project data. By using Click2QBO Sync, you authorize us to:

• Access your ClickUp workspace and lists
• Read task information and custom fields
• Monitor task status changes for synchronization

QuickBooks Online Integration

Our Services integrate with QuickBooks Online to create customers, projects, and invoices. By using Click2QBO Sync, you authorize us to:

• Create and manage customer records
• Generate invoices and project entries
• Access your QuickBooks company data

Google Sheets Integration

Our Services integrate with Google Sheets to store and display synchronized data. By using Click2QBO Sync, you authorize us to:

• Read and write data to your specified spreadsheets
• Apply formatting and create data structures
• Manage sheet organization and data presentation

10. ABOUT THESE TERMS

Modifications

We may modify these terms or any additional terms that apply to a Service to reflect changes to the law or changes to our Services. You should review the terms regularly.

Notice of Changes

• We'll post notice of modifications to these terms on this page
• Changes will not apply retrospectively
• Changes become effective no earlier than fourteen days after posting
• Changes addressing new functions or legal requirements are effective immediately

Agreement to Changes

If you do not agree to the modified terms for a Service, you should discontinue your use of that Service. Your continued use constitutes acceptance of the updated terms.

11. LAW AND JURISDICTION

This agreement shall be governed by and interpreted according to the laws of the United States, and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the courts in the United States.
